Terms of Service

1. Acceptance
By creating an account or using Numeris (the "Service") you agree to these Terms. If you do not agree, do not use the Service.
2. The service
Numeris provides cloud-based invoicing, customer and expense management. We may add, remove or modify features at any time to improve the Service.
3. Accounts
You must provide accurate information when registering and keep your credentials confidential. You are responsible for activity under your account, including any team members you invite.
4. Plans, trials and billing
- Paid plans require a valid payment method on file at sign-up.
- Trials automatically convert to a paid subscription at the end of the trial period unless cancelled.
- Subscriptions renew automatically (monthly or yearly). Yearly plans are billed up-front at a 20% discount.
- Fees are non-refundable except where required by law.
- VAT or other taxes are added where applicable based on your billing country.
5. Cancellation
You may cancel your subscription at any time from your account. Cancellation takes effect at the end of the current billing period.
6. Acceptable use
You agree not to (a) use the Service for unlawful purposes, (b) attempt to disrupt or compromise the Service, (c) reverse engineer the platform, or (d) use the Service to send spam or fraudulent invoices.
7. Your data
You retain ownership of data you enter into Numeris. You grant us a limited license to host and process it solely to provide the Service. Our handling of personal data is described in our Privacy Policy.
8. Service availability
We aim for high availability but the Service is provided "as is" without warranties of uninterrupted operation. Planned maintenance will be communicated where reasonably possible.
9. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of these Terms is limited to the fees you paid for the Service in the 12 months preceding the claim. We are not liable for indirect or consequential damages.
10. Termination
We may suspend or terminate accounts that violate these Terms. Upon termination, you may export your data for a reasonable period before it is deleted in line with our retention policy.
11. Changes
We may update these Terms. Material changes will be notified by email at least 30 days before they take effect. Continued use after changes means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of the European Union and the country in which Numeris is established, without regard to conflict-of-law principles.
